A public-records search for Uniform Commercial Code liens against the seller’s assets.

A UCC-1 filing notifies others that a lender or vendor has a security interest in equipment, inventory, or other personal property. Buyers and their lenders run UCC searches in the seller’s state of organization and often where the assets sit. Liens must be paid off or released at closing so the buyer takes clean title in an asset sale. A clean search does not replace a title search on real estate.
