Bizgora Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Bizgora iOS application, website, and related services (collectively, the "App"), operated by Birchvest LLC d/b/a Bizgora ("Bizgora," "we," "us," or "our"). By creating an account, accessing, or using the App in any manner, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, you may not access or use the App.

1. Eligibility

You must be at least 18 years old and capable of entering a legally binding agreement. By using the App, you represent and warrant that you meet these requirements and that all information you provide is accurate.

2. Scope of Services; Bizgora's Limited Role

Bizgora provides an online marketplace where business brokers, sellers, and prospective buyers of small businesses can connect. Bizgora is not a party to any transaction between users and does not broker, endorse, guarantee, insure, or otherwise assume responsibility for any listing, negotiation, due-diligence, payment, closing, or other aspect of any transaction. All transactions are solely between the relevant users. You are solely responsible for verifying the accuracy of listings, performing due diligence, complying with all legal requirements, and negotiating and executing definitive agreements.

3. No Professional Advice

Content made available through the App (including market-research reports, valuation tools, and AI-generated insights) is for informational purposes only and does not constitute legal, financial, tax, investment, or other professional advice. Consult qualified professionals before acting on any information.

4. User Accounts and Conduct

You are responsible for maintaining the confidentiality of your credentials and for all activities that occur under your account. You agree to comply with all applicable laws and refrain from: (a) posting false or misleading content; (b) infringing intellectual-property or privacy rights; (c) interfering with the App's security or operation; or (d) engaging in any fraudulent or unlawful activity.

5. Content License; Section 230 Notice

You grant Bizgora a worldwide, non-exclusive, royalty-free license to host, display, and distribute any content you submit ("User Content") for the purpose of operating the App. Bizgora is an "interactive computer service" under 47 U.S.C. Section 230(c)(1) and is not liable for third-party content. We may, but are not obliged to, remove or edit User Content that violates these Terms.

6. Payments and Third-Party Services

Subscription payments on the App are processed through Apple's In-App Purchase system. Bizgora does not hold funds, act as escrow, or assume responsibility for payment disputes outside Apple's billing and refund frameworks. Your use of third-party services is subject to their separate terms and conditions.

7. Disclaimers of Warranty

THE APP AND ALL CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING, WITHOUT LIMITATION, WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, OR RELIABILITY. BIZGORA MAKES NO WARRANTY THAT THE APP WILL BE ERROR-FREE, SECURE, OR UNINTERRUPTED, OR THAT ANY CONTENT WILL BE COMPLETE, ACCURATE, OR RELIABLE.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL BIZGORA OR ITS AFFILIATES, DIRECTORS, OFFICERS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, OR FOR ANY LOSS OF PROFITS, GOODWILL, DATA, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE APP, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN NO EVENT SHALL OUR AGGREGATE LIABILITY EXCEED THE GREATER OF (A) USD 100 OR (B) THE TOTAL AMOUNT YOU PAID TO BIZGORA (IF ANY) IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

9. Indemnification

You agree to defend, indemnify, and hold harmless Bizgora and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the App; (b) your breach of these Terms; (c) your User Content; or (d) your violation of any law or the rights of any third party.

10. Dispute Resolution; Binding Arbitration; Class-Action Waiver

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT.

10.1 Informal Resolution

Before commencing arbitration, you agree to first contact us at support@bizgora.com and attempt to resolve the dispute informally for at least 30 days.

10.2 Binding Arbitration

If we cannot resolve the dispute informally, any claim or controversy arising out of or relating to these Terms or your use of the App shall be finally and exclusively resolved by binding arbitration administered by JAMS (or, if JAMS is unavailable, the American Arbitration Association) under its Streamlined Arbitration Rules and Procedures in effect at the time the arbitration is filed, as modified by these Terms. The Federal Arbitration Act (9 U.S.C. Sections 1 et seq.) governs this arbitration provision.

10.3 Class Action & Jury Trial Waiver

YOU AND BIZGORA AGREE THAT ANY PROCEEDINGS SHALL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, COLLECTIVE, OR REPRESENTATIVE ACTION. YOU ALSO WAIVE ANY RIGHT TO A JURY TRIAL.

10.4 Opt-Out

You may opt out of this arbitration agreement by sending written notice to support@bizgora.com within 30 days of your first acceptance of these Terms.

10.5 Exceptions

Either party may (a) seek relief in small-claims court for eligible disputes; or (b) seek injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual-property rights.

11. Governing Law & Venue

These Terms and any dispute between you and Bizgora shall be governed by the laws of the State of Nevada, without regard to conflict-of-law principles. Subject to Section 10, the state and federal courts located in Clark County, Nevada, shall have exclusive jurisdiction for all non-arbitrable disputes.

12. Modifications to Terms

We may revise these Terms from time to time. Material changes will be effective 30 days after posting or notice to you. Your continued use of the App after the effective date constitutes acceptance of the revised Terms.

13. Termination

Bizgora may suspend or terminate your access to the App at any time, with or without notice, for any reason, including violation of these Terms. Sections 2-13 shall survive termination.

14. Severability

If any provision of these Terms is held to be invalid or unenforceable, that provision will be enforced to the maximum extent permissible and the remaining provisions will remain in full force.

15. Entire Agreement

These Terms, together with any additional policies referenced herein, constitute the entire agreement between you and Bizgora regarding the App and supersede all prior or contemporaneous agreements.
