A licensed intermediary who markets a business, screens buyers, and helps negotiate a sale for a fee.

In everyday use, “broker” means the person representing the sale of a Main Street business. They typically prepare marketing materials, collect NDAs, field buyer questions, and coordinate offers. Compensation is usually a success fee paid at closing, sometimes with a retainer. Licensing rules vary by state; some transactions also involve attorneys or other advisors.
