Bulk-sale or bulk-transfer statutes (where still in force) and related tax-clearance rules may require notice to creditors or the state when a business sells its goods as a going concern. The practical goal is to reduce successor liability for certain unpaid taxes or trade debt. Counsel in the business’s state should say what notices, escrow, or clearances apply. Skipping required notices is a legal risk, not a paperwork shortcut.
