Assignment fees appear in many commercial leases and most franchise agreements. The amount may be fixed, a percentage of the sale price, or “landlord’s costs” for review. The fee is a closing cost and should be allocated in the purchase agreement. A high fee or a consent standard of “sole discretion” is a process risk, not just a dollar line.
