Inventory is merchandise, ingredients, or parts the business intends to sell in the ordinary course. Listings may quote a price “plus inventory” at cost, wholesale, or a negotiated count at closing. Stale, obsolete, or consigned stock should be excluded or discounted. A physical count and quality review belong in diligence, especially for retail, restaurants, and auto parts.
