Due diligence is the structured review that confirms or revises what the CIM and listing claimed. Typical workstreams include financials and tax returns, quality of earnings, lease and landlord consent, licenses, employees, vendors, equipment, and litigation. Findings can lead to a price cut, holdback, walk-away, or extra conditions. Time boxes in the LOI matter; extensions are negotiated, not automatic.
