The moment ownership transfers — funds are released, documents are signed, and the buyer takes the assets or stock.

Closing (or completion) occurs when the conditions in the purchase agreement are satisfied or waived and the bill of sale, assignments, and payments become effective. Same-day events usually include lease assignment or a new lease, payoff of UCC liens, inventory count, and delivery of keys, codes, and POS access. Post-closing items such as license transfers can trail by days or weeks if the contract allows. A delayed funding or failed landlord consent can postpone closing even after both parties intended to finish.
