CIM
A confidential information memorandum — the broker’s detailed overview of the business after the buyer signs an NDA.

A CIM summarizes history, operations, financials, customers, employees, facilities, and the investment thesis for a business that is for sale. It is marketing material, not audited proof; buyers still verify numbers in due diligence. Some Main Street listings are thinner than middle-market CIMs and may be a teaser plus a spreadsheet. Treat any CIM as a starting point for questions, not as a substitute for tax returns and a quality-of-earnings review.
